1、自乙方受伤之日起截止本协议签订之日所实际发生的和其它应当由甲方支付的医疗费、交通费等各项费用共计 元(大写:人民币),在本协议签订之前已由甲方全部付清,协议签订之后乙方不得再以任何理由向甲方主张前述期间发生的任何费用。

7、乙方领取甲方支付的一次性补助金后,又以任何理由向甲方提出任何费用和责任要求的,乙方应当退还甲方为解决本事宜所支付的全部费用,并承担因违约而给甲方造成的全部损失,同时应向甲方支付一次性补助金的%的违约金。
8、本协议为双方平等、自愿协商的结果,是双方真实意思的表示,并且公平、合理。
9、本协议内容甲乙双方已经全文阅读并理解无误,甲乙双方明白违反本协议所涉及的后果,甲乙双方对此协议处理结果完全满意。
10、本协议一式两份,甲乙双方各执一份,协议自甲乙双方签字后即发生法律效力。
11、本协议为一次性终结处理协议,双方当事人应以此为断,全面切实履行合同,不得再以任何理由纠缠。乙方今后身体或精神出现任何问题均与甲方无关。

6.NON-DISCLOSURE

Each party agrees to execute or cause their counsel to execute any additional documents and take any further action which may reasonably be required in order to consummate this Agreement or otherwise fulfill the obligations of the Parties there under.15.DISPUTE
Should a dispute arise concerning this Agreement or its performance, such dispute shall be resolved, at the election of the party seeking to enforce the Agreement, either by court action, or by binding arbitration administered by the [ASSOCIATION/ORGANIZATION] under its commercial dispute resolution rules.If arbitration is initiated, the arbitration shall be held in [CITY], [STATE].16.MODIFICATION AND WAIVER

劳动法中关于辞退员工补偿金或赔偿金分别是怎么规定的?
1、用人单位辞职员工,除了员工符合《劳动合同法》第三十九条规定外,其它的要支付经济补偿金的,如果涉及违法解除劳动合同的,要支付违法解除劳动合同的二倍经济补偿金的赔偿金。
2、法律依据《劳动合同法》
第三十九条 劳动者有下列情形之一的,用人单位可以解除劳动合同:
(一)在试用期间被证明不符合录用条件的;
(二)严重违反用人单位的规章制度的;
(三)严重失职,营私舞弊,给用人单位造成重大损害的;
(四)劳动者同时与其他用人单位建立劳动关系,对完成本单位的工作任务造成严重影响,或者经用人单位提出,拒不改正的;
(五)因本法第二十六条第一款第一项规定的情形致使劳动合同无效的;
(六)被依法追究刑事责任的。
第四十条 有下列情形之一的,用人单位提前三十日以书面形式通知劳动者本人或者额外支付劳动者一个月工资后,可以解除劳动合同:
(一)劳动者患病或者非因工负伤,在规定的`医疗期满后不能从事原工作,也不能从事由用人单位另行安排的工作的;
(二)劳动者不能胜任工作,经过培训或者调整工作岗位,仍不能胜任工作的;
(三)劳动合同订立时所依据的客观情况发生重大变化,致使劳动合同无法履行,经用人单位与劳动者协商,未能就变更劳动合同内容达成协议的。
第四十一条 有下列情形之一,需要裁减人员二十人以上或者裁减不足二十人但占企业职工总数百分之十以上的,用人单位提前三十日向工会或者全体职工说明情况,听取工会或者职工的意见后,裁减人员方案经向劳动行政部门报告,可以裁减人员:
(一)依照企业破产法规定进行重整的;
(二)生产经营发生严重困难的;
(三)企业转产、重大技术革新或者经营方式调整,经变更劳动合同后,仍需裁减人员的;
(四)其他因劳动合同订立时所依据的客观经济情况发生重大变化,致使劳动合同无法履行的。
裁减人员时,应当优先留用下列人员:
(一)与本单位订立较长期限的固定期限劳动合同的;
(二)与本单位订立无固定期限劳动合同的;
(三)家庭无其他就业人员,有需要扶养的老人或者未成年人的。
用人单位依照本条第一款规定裁减人员,在六个月内重新招用人员的,应当通知被裁减的人员,并在同等条件下优先招用被裁减的人员。
第四十二条 劳动者有下列情形之一的,用人单位不得依照本法第四十条、第四十一条的规定解除劳动合同:
(一)从事接触职业病危害作业的劳动者未进行离岗前职业健康检查,或者疑似职业病病人在诊断或者医学观察期间的;
(二)在本单位患职业病或者因工负伤并被确认丧失或者部分丧失劳动能力的;
(三)患病或者非因工负伤,在规定的医疗期内的;
(四)女职工在孕期、产期、哺乳期的;
(五)在本单位连续工作满十五年,且距法定退休年龄不足五年的;
(六)法律、行政法规规定的其他情形。
第四十三条 用人单位单方解除劳动合同,应当事先将理由通知工会。用人单位违反法律、行政法规规定或者劳动合同约定的,工会有权要求用人单位纠正。用人单位应当研究工会的意见,并将处理结果书面通知工会。
第四十四条 有下列情形之一的,劳动合同终止:
(一)劳动合同期满的;
(二)劳动者开始依法享受基本养老保险待遇的;
(三)劳动者死亡,或者被人民法院宣告死亡或者宣告失踪的;
(四)用人单位被依法宣告破产的;
(五)用人单位被吊销营业执照、责令关闭、撤销或者用人单位决定提前解散的;
(六)法律、行政法规规定的其他情形。
第四十五条 劳动合同期满,有本法第四十二条规定情形之一的,劳动合同应当续延至相应的情形消失时终止。但是,本法第四十二条第二项规定丧失或者部分丧失劳动能力劳动者的劳动合同的终止,按照国家有关工伤保险的规定执行。
第四十六条 有下列情形之一的,用人单位应当向劳动者支付经济补偿:
(一)劳动者依照本法第三十八条规定解除劳动合同的;
(二)用人单位依照本法第三十六条规定向劳动者提出解除劳动合同并与劳动者协商一致解除劳动合同的;
(三)用人单位依照本法第四十条规定解除劳动合同的;

劳动者月工资高于用人单位所在直辖市、设区的市级人民政府公布的本地区上年度职工月平均工资三倍的,向其支付经济补偿的标准按职工月平均工资三倍的数额支付,向其支付经济补偿的年限最高不超过十二年。
本条所称月工资是指劳动者在劳动合同解除或者终止前十二个月的平均工资。
第四十八条 用人单位违反本法规定解除或者终止劳动合同,劳动者要求继续履行劳动合同的,用人单位应当继续履行;劳动者不要求继续履行劳动合同或者劳动合同已经不能继续履行的,用人单位应当依照本法第八十七条规定支付赔偿金。

辞退员工,不论对企业还是对员工,都是一个沉重的话题。然而辞退员工,对于大多数企业来说,又是不得不面对的现实。
优秀的人才是企业在市场竞争中立于不败之地的关键要素之一,不能达到要求的员工必然要被淘汰,与此同时,经济的大起大落也引来了一浪接一浪的裁员潮。辞退、裁减员工是人力资源经理必须处理,又是最难处理的工作。辞退员工时处理不当,很容易引发劳动纠纷甚至对簿公堂,对公司正常营运产生深远的影响。
辞退员工中经常出问题的基本都是不正确的甚至是违法的辞退。笔者接触的许多公司的经营管理者往往都存在着一些错误的观点,比如,试用期可以随便辞退员工;员工违纪,可以辞退;只要公司给经济补偿金并提前一个月通知,可以辞退员工„„这些观点都是很危险的,实践中发生的大量案例已经证明,持有这些观点的企业往往都是劳动争议不断并且屡屡败诉的企业。
用人单位辞退员工实质上是劳动合同解除的原因之一。劳动合同解除是指劳动合同订立后,尚未全部履行前,由于某种原因导致劳动合同一方或双方当事人提前消灭劳动关系的一种法律行为。由于劳动合同解除事关重大,因此劳动法对其条件和程序做了严格的规定,用人单位辞退员工必须要遵守严格的法律条件和法律程序,不是说辞就可以辞。不正确的辞退有很多的情形,其中最为严重的就是违法的辞退。违法的辞退主要表现为三大类情形:
1、辞退员工事实依据不充分;
2、辞退员工法律依据不准确;
3、辞退员工操作程序不合法。
上述三种违法的辞退,往往会给公司的经营管理带来巨大的法律风险。根据现行《劳动法》的规定,解除劳动合同可分为以下三种情况:
(一)双方协议解除劳动合同。根据《劳动法》第二十四条的规定,劳动合同当事人协商一致,可以解除劳动合同,此种情况下,不问解除的事由,只要双方协商一致,即可解除劳动合同。
(二)用人单位单方解除劳动合同,又分三种:
1、用人单位随时解除劳动合同。根据《劳动法》第二十五条的规定,劳动者有下列情况,用人单位可以随时解除劳动合同:
a、在试用期间被证明不符合录用条件的;
b、严重违反劳动纪律或者用人单位规章制度的;
c、严重失职,营私舞弊,对用人单位利益造成重大损害的;
d、被依法追究刑事责任的;
e、被劳动教养的。
2、用人单位需要提前30天书面通知劳动者本人才能解除劳动合同。根据《劳动法》第二十六条的规定,发生下列情况,用人单位提前30天书面通知劳动者本人可以解除劳动合同:
a、劳动者患病或者非因工负伤,医疗期满后,不能从事原工作也不能从事由用人单位另行安排的工作的;
b、劳动者不能胜任工作,经过培训或者调整工作岗位,仍不能胜任工作的;
c、劳动合同订立时所依据的客观情况发生重大变化,致使原劳动合同无法履行,经当事人协商不能就变更劳动合同达成协议的。用人单位根据上述情况解除劳动合同的,需要向劳动者支付经济补偿金。
3、经济性裁员。根据《劳动法》第二十七条的规定,出现下列情况,用人单位提前三十日向工会或者全体职工说明情况,听取工会或者职工的意见,经向劳动行政部门报告后,可以裁减人员:
a、用人单位濒临破产进行法定整顿期间;
b、生产经营状况发生严重困难。用人单位根据上述情况解除劳动合同的,需要向劳动者支付经济补偿金。
(三)劳动者单方解除劳动合同。此种情况下,也分为两种:
1、劳动者随时解除劳动合同。根据《劳动法》第三十二条的规定,用人单位有下列情况,劳动者可以随时解除劳动合同:
a、在试用期内的;
b、用人单位以暴力、威胁或者非法限制人身自由的手段强迫劳动的;
c、用人单位未按照劳动合同约定支付劳动报酬或者提供劳动条件的。
2、没有法定事由,劳动者需要提前30天以书面形式通知用人单位才能解除劳动合同。
除以上情形外,用人单位不得与员工随意解除劳动合同。而用人单位辞退员工主要依据以上第一、第二类规定。从实际发生的案例来看,双方协商解除劳动合同一般问题不大,辞退员工问题主要发生在以上第二类规定即用人单位单方解除劳动合同时。如何做到正确辞退员工,笔者总结起来,主要应注意以下问题:
一、试用期内不得随意辞退员工。
要正确辞退试用期内的员工,必须把握“不符合录用条件”的原则。用人单位首先要证明单位是否有“录用条件”,同时还得证明该员工不符合录用条件。不知何为录用条件,或无法证明该录用条件就贸然辞退试用期内的员工,是用人单位在实践中的典型错误做法。维权意识强的员工有权要求恢复劳动关系,此时公司往往在管理上会陷入更加难堪的境地。
二、辞退有过错的员工应有事实依据和制度依据。
对于违纪的员工,用人单位并非可以一概辞退。劳动法规定必须是严重违纪的员工,用人单位方可辞退。因此,何谓严重违纪,对于用人单位而言就至关重要了。单位在员工手册或者规章制度中最好对严重违纪的情形要有明确规定,并且注意保留员工严重违纪的事实依据。员工严重失职,营私舞弊,对用人单位利益造成重大损害的,单位也可随时辞退,但同样要注意举证尤其是对何谓“重大损害”的举证问题(最好还是有制度依据,在员工手册或者规章制度中对重大损害的标准作明确规定)。此外,员工被依法追究刑事责任或者被劳动教养的,单位也可以随时辞退。
三、辞退无过错的员工要提前通知和支付经济补偿金。辞退无过错的员工仅限于以下情形:
1、劳动者患病或者非因工负伤,医疗期满后,不能从事原工作也不能从事由用人单位另行安排的工作的;
2、劳动者不能胜任工作,经过培训或者调整工作岗位,仍不能胜任工作的;
3、劳动合同订立时所依据的客观情况发生重大变化,致使原劳动合同无法履行,经当事人协商不能就变更劳动合同达成协议的。
辞退无过错的员工要提前30天书面通知员工本人,并根据其工作年限支付经济补偿金。
四、经济性裁员必须符合法定条件并履行法定程序。
所谓经济性裁员,是指用人单位濒临破产进行法定整顿期间或生产经营状况发生严重困难,为改善生产经营状况而辞退成批员工。经济性裁员是用人单位克服经营困难的内在需要的通常作法,法律予以允许。但是,裁员同时也涉及被裁劳动者的合法权益。因此,为保障用人单位与劳动者双方合法权益的有效平衡,法律对用人单位经济性裁员作了一些适度的限制:首先,对于可以进行经济性裁员的用人单位必须是濒临破产,被人民法院宣告进入法定整顿期间或生产经营发生严重困难,达到当地政府规定的严重困难企业标准,确需裁减人员的企业。此外,上海市对实施经济性裁员也有严格限制,即上述企业必须在实施停止招工、清退各类外聘人员、停止加班加点、降低工资四项措施后仍无好转的,才能实施经济性裁员。其次,对符合进行经济性裁员条件的用人单位,应按下列程序裁减人员:
(一)提前三十日向工会或者全体职工说明情况,并提供有关生产经营状况的资料;
(二)提出裁减人员方案;
(三)将裁减人员方案征求工会或者全体职工的意见,并对方案进行修改和完善;
(四)向当地劳动行政部门报告裁减人员方案以及工会或者全体职工的意见,并听取劳动行政部门的意见;
(五)由用人单位正式公布裁减人员方案,与被裁减人员办理解除劳动合同手续,按照有关规定向被裁减人员本人支付经济补偿金,出具裁减人员证明书。
五、辞退员工中的特殊限制。
根据《劳动法》第二十九条的规定,出于对特殊人群的保护,员工有下列情况之一并且没有过错的,用人单位不能辞退:
(一)患职业病或者因工负伤并被确认丧失或者部分丧失劳动能力的;
(二)患病或者负伤,在规定的医疗期内的;
(三)女职工在孕期、产期、哺乳期内的;
(四)法律、行政法规规定的其他情形。换句话说,对于具备上述情形之一的员工,除非其有严重违纪等过错的,否则用人单位不得辞退。
