一、合同的基本格式及其语言特点
国际货物买卖合同的制作，买卖双方均可负责。买方制作合同称为购货合同（Purchase Contract）；卖方制作的合同称为销售合同（Sales Contract）。通常买卖双方都备有事先制作好的空白格式合同，或称作标准合同（Standard Form Contract）。由于合同的性质及实际情况的差异，合同格式局部细节各种各样。但是一般而言，合同格式由约首、正文和结尾三部分构成。
1. 约首
约首即指合同的开头。它一般载明合同的名称和编号、订约时间与地点、订约双方的名称与法定地以及电报挂号、电传、电话等事项。此外，有的合同还包括有较长的序言，说明订约的目的和基本原则。当然，约首所载明内容的多寡遵循双方当事人意思表示一致的原则。从约首所载明的内容看，由于它的法律作用在于确定合同的效力范围和有效条件，所以也称其为效力部分（Effect Part）。例：

2.正文
正文即指构成合同主要内容或中心内容的条款部分。由于它反映了买卖双方在交易中的权利和义务关系，所以称其为权利和义务部分（Rights and Obligation Part）。正文的格式比较简单，一般即将买卖双方商订的条款按顺序排列。例如紧接上述英文约首后正文条款的排法：

3. 结尾
结尾和约首一样，也属于合同的效力部分。它主要载明合同生效日期、合同使用文字、文本、份数和买卖双方当事人的签字。结尾的格式一般在正文条款之后有一段结尾语，然后再由买卖双方当事人签字并署名日期。例：

从上述实例中的约首和结尾的语言分析来看，专门法律术语的运用并不多，但是选词用词很准确、很规范。特别是agree一词的运用颇具典型性。该词不仅体现其本身的表面意义，更重要的是它从法律这个更深层次揭示了买卖双方意思表示一致原则在合同中的应用。同时，主体英语或法律公文的专门词语得到较多的运用。例如：hereafter， hereby， hereinafter， herein， hereof， hereto， whereas， whereby， whereof等主体形式加介词构成的副词。这些公文特有的规范书面语突出地体现了合同严肃庄重的文体风格。
二、合同正文英文条款订立的原则
正文作为合同的主体或本文，其作用在于确立买卖双方的权利和义务关系，所以，条款的内容和多寡是双方当事人商谈的中心。由于正文条款内容复杂，涉及法律问题也很多，所以订立条款必须明确、具体、切合实际，否则很容易引起争议或损害赔偿。
1.必须载明条款的必备内容
每项条款都有必备的内容要求。任何不具体、不明确、不切实际的条款都会使买卖双方权利与义务界限不清，从而产生争议。据此，一定要载明条款的必备内容。例如SHIPMENT条款主要规定有交货时间、装运港和目的港、转船以及分批装运等内容：

通过以上实例不难看出条款内容的重要性。每项条款都会在不同方面涉及许多复杂法律问题，所以买卖双方必须在签订合同之前对合同条款的内容认真仔细地进行磋商，把条款规定得适当、明确和切实可行，以免日后引起不必要的争议。
2.条款的表示方式
与条款内容密切相关的问题就是条款的表示方式。许多条款的表示方式都有明确规定。如不遵守就会和条款内容一样造成严重的法律后果。请看下面一项仲裁条款：
ARBITRATION： All disputes arising from the execution of， or in connection with this contract， shall be settled amicably through negotiation. In case no settlement can be reached through negotiation， the case shall then be submitted to _______ in accordance with its arbitral rules of procedure. The arbitral award is final and binding upon both parties.
该仲裁条款规定了三种常用的方式：一是规定在我国仲裁的条款；二是规定在被诉方所在国仲裁的条款；三是规定在第三国仲裁的条款。该实例中的空格正是为说明这三种方式的变化而留的。如果条款内容条理不清，合同不仅无法履行，而且引起严重的法律后果。
总之，条款内容及其表示方式紧密相关的。但是，具体采用什么样的条款表示方式则要依据商品的特点或类别、合同的性质和买卖双方意思表示一致的原则下而定。以上仅是订立条款时的规律性及原则性说明。在实践中，所订立的任何条款都应从内容和形式两方面进行认真磋商，以免日后产生争议。
3.常用的专门术语及计量单位名称
国际货物买卖合同的性质决定了正文条款涉及到的专门术语五花八门，种类繁多，延伸到许多领域内。合同条款中专门术语的运用是交易的需要，合同自签订之日至履行完，要涉及某特定商品、价格、运输、保险、商检、银行金融等一系列领域各自的专门术语，因此，熟悉常用的专门术语仍是起草合同条款的一个必备条件。
国际贸易术语是指用一个含有简短概念的外文缩写来表示商品价格的构成、买卖双方各自应负担的责任、费用和风险以及货物所有权转移的界限。由于它表明了商品价格的构成，所以在外贸业务中，往往把贸易术语称价格术语（Price Terms）。价格术语涉及交货地点、运输及其费用、保险及其保险费、进出口许可证申领和进出口关税的交纳四个方面的问题，按交货地点的不同可分为出口国内陆交货、出口国装运港交货、进口国目的地交货三大类价格术语。其中以第二类出口国装运港交货中的FOB，C&F，CIF三种价格术语在国际上使用最为普遍。如果对此心中无数，不了解这些术语丰富的法律内涵以及实务中的运作程序，后果会十分严重。

Is China really has such attractive power for FDI?In order to examine a country’s competitiveness, Michael Porter, a famous management scientist, raises a theory which called the Diamond theory.There are four factors included in Porter’s Diamond theory.They are factor conditions, demand conditions, related and supporting industries, and fi rm strategy, structure and rivalry.
China’s natural resources, from minerals to energy, are suffi cient to support even the growing industrial demands.Moreover, China is the tenth largest oil producer in the world and it is enough to support the daily use and the industry use of natural resources (Liang, 2002) .However, only depends on natural resources cannot win in the international competition.Therefore, in international trade, a country which has an advantage in rich natural resources will be more competitive, and a fi rm which could make use of both domestic resources and advanced technology will has a competitive advantage over other fi rms.
Porter argues that a mature and complicated domestic market is a very important element to competitiveness producing.Companies that confront a mature and complicated domestic market are likely to sell superior products because the market needs high quality and a close proximity to such consumers enables the fi rm to better understand the needs and desires of the customers.As it mentioned above, China has the largest population all over the world, in other words, the domestic needs and the ability of purchase in China are higher than other countries.If a firm can meet the demand of domestic consumers while competing with foreign firms over the world, this must be a competitive fi rm.
Porter also argues that a set of strong associated and supporting industries is important to the competitiveness of fi rms.This includes suppliers and related industries.China is famous for its handicraf industry and manufacturing industry, therefore, in order to suppor the handicraft industry and manufacturing industry, some other industries such as transportation industry, IT industry and fi nancia industry should work together to ensure the competitiveness of those lower-stream industry over the world, meanwhile, a growing number of foreign direct investments rushing into Chinese market in order to get a share in this big market.
In Porter’s Diamond theory, strategy of companies will be affected by the Domestic capital markets.Some countries’capita markets have a long-run outlook, while other countries’capita markets have a short-run outlook.Industries vary in how long the long-run is.Countries with a short-run outlook will tend to be more competitive in industries where investment is short-term.China used to make several short-run outlooks such as“Five Year Project”and then come to a long-run outlook.However, even the country provides the elementary factors of development, a fi rm which canno make right strategies will not be successful in a short term.
Opportunity and government also play very important roles in developing firm’s competitiveness.According to Chinese curren situation, most Chinese important industries are still stated-owned and regulation through the market cannot be put into practice efficiently under the shadow of the socialist planned economic system (Bajona and Chu, 2009) .However, Chinese government is greatly supporting the development of domestic fi rms.Governmen also sets up intermediaries to train staff and provide technica guidance for domestic firms.Therefore, with the help of Chinese government, domestic firms will be more competitive in the international market.
In conclusion, China has been regarded as one of the mos powerful countries in the global economy and remained a dream land for many western companies.According to Porter’s diamond theory, Chinese international trade and foreign investment position at present gives a very good opportunity to firms who want to be competitiveness in competing in the international market, and many domestic fi rms are supported by Chinese policies.Therefore international trade and foreign investment in China are developed well.

在全球化背景下，国与国之间意识形态的冲突更多地体现为文化实力的较量。要成为文化强国，让世界真实地了解中国，理解中国的价值观，提高文化软实力是一项重要发展战略，是有效传递中国文化价值的市场化途径。从国家层面来说，文化“走出去”的意义更为深远，是我国对外宣传国家形象、增强国际交流、提高国际话语权和国际沟通能力的重要方式。图书、期刊作为传统的文化载体和沟通桥梁，是世界各国了解和认识中国的重要渠道。
近年来，我国对外翻译出版取得了长足的进展。中国翻译协会发布的《中国文化对外翻译出版发展报告2012》显示，1980—2009年的30年间，翻译成不同外语语种出版的中国图书累计9763种[1]。但是，由于我国出版业的市场化特征和国际化程度低，与引进图书相比，对外翻译出版的图书仍存在巨大差距，仅2002年我国引进图书版权就达到10235种[2]。国外多家出版集团都在国内设有办事处或子分公司，并与国内出版集团合作，如施普林格（Springer）、麦格劳-希尔（The McGraw-Hill）、约翰·威利公司（John Wiley & Sons）、牛津大学出版社（Oxford University Press）、培生教育出版集团（Pearson）及下属的朗文（Longman）等。
与对外翻译出版的图书相比，我国的英文期刊数量更少。截至2011年，在8281种SCI-E收录的科技期刊中，中国只有148种[3]，仅占1.78%。虽然这仅代表部分英文科技期刊，但是其他类型的英文期刊数量也不多。作为定期出版的出版物，期刊具有传播知识、文化推介的作用，对我国文化“走出去”也有战略贡献。因为大部分国际化期刊翻译出版的目标语言为英文，本文重点论述中国英文期刊国际化的发展特点和面临的主要问题，并提出建议供英文期刊出版单位参考和交流。
1 我国现有英文期刊的特点
1.1 期刊数量少，以学术期刊为主
我国现有的英文期刊主要是原国家新闻出版总署审批的具有国际标准连续出版物编号（ISSN）和国内统一刊号（CN）的期刊。近年来，我国对新期刊申请的审批较为严格，因此现有英文期刊主要是以各类学报为主体的学术期刊。这类期刊中部分入选了工程索引（EI）或者科学引文索引（SCI），但国际发行量很小。根据中国科学技术协会实施的“中国科技期刊国际影响力提升计划”，2014年共有A、B、C、D类项目125种入选期刊[4]，几乎全部为学术期刊。
分析其原因，主要有两点。第一，学术期刊代表了我国最高的学术研究水平和国际影响力，以及最先进的技术研发成果，是国际交流和合作的重要平台。从期刊的主办单位和承办单位来讲，期刊的质量水平远高于收益，因此长期受到支持。第二，国内新闻出版体制改革后，非学术类英文期刊需要自负盈亏，国外读者数量少，发行英文杂志收益甚微，因此非学术类英文期刊的国际化水平更低。
1.2 办刊方式以自办为主
英文期刊办刊方式目前有两种：自主办刊和合作办刊。由于我国新闻出版相关规定的限制，我国大部分英文期刊的办刊方式为自主办刊，自主或合作发行。国内出版社出版具有英文ISSN刊号和国内出版CN刊号的英文期刊，利用自有的编辑团队编辑出版，内容由出版社编辑审核，通过邮局、高校图书馆和数据库、零售方式发行。其中部分具有ISSN刊号或者入选索引的学术期刊会选择国外期刊发行机构或数据库合作，发行英文版期刊。
随着我国出版市场放开，国外出版公司进入我国后多采取与国内出版社合作的方式，而国内出版社为了扩大国际市场，也愿意与国外出版公司合作。出于这种双赢目的，部分英文期刊采取了合作办刊方式。合作办刊分为两种。一种是国内出版社与国外出版公司合作，国内出版社负责内容编辑等出版环节，国外出版公司负责海外销售渠道和宣传推广。例如由教育部发起、高等教育出版社编辑出版、德国施普林格出版公司海外发行的Frontiers系列英文期刊出版项目；德国弗戈媒体集团与机械工业出版社合资组建的弗戈工业媒体出版的《现代制造》等期刊。另外一种即国内企业与国外出版社合作，利用国外出版社的资源，直接申请英文ISSN刊号，由国外出版社负责刊物出版的全部工作，包括文章校对、排版设计、印刷、发行和推广等，国内企业出资并负责内容审核。其主要优势是申请刊号容易，刊物出版方便，出版社直接出版英文刊物，期刊内容便于读者阅读，不存在语言翻译问题，而且发行和推广更容易，容易被国外读者接受。例如神华集团出版的《基石》杂志（ISSN 2327-1043），作为宣传煤炭行业价值和贡献、介绍国内外先进技术和战略、获取全球资讯和最新动向的中英文期刊，创刊两年来，在国外的影响力和知名度不断增加，文章的被引频次和浏览次数都高于一般英文刊物。但这种办刊方式的缺点也很明显，国外出版社的人工成本要远高于国内，因此出版费用较高。
2 期刊国际化的主要问题
我国现有英文期刊在出版发行过程中面临诸如文化差异、翻译、效益、期刊编辑素质、发行等问题，须引起国内出版社和企业的思考。
2.1 文化差异问题
中西方文化差异是英文期刊出版最突出的问题，包括思维和行文差异。中西方文化从思想认识到思维方式都存在很大差异。由于文化和地域性限制，中国出版的期刊缺乏被其他国家读者理解的文化背景。例如，《基石》准备刊登的一张位于海边的先进燃煤电厂图片曾引发合作的国外出版社的“讨伐”。图片中的电厂采用先进的脱硫脱硝等污染物控制技术，污染物排放量接近燃气电厂；电厂坐落于海岸内几公里处；图片中蓝天白云映衬，附近海水湛蓝清澈。从中国人的文化习惯看，图片中的电厂表现出的内在含义是电厂技术先进，对周边大气和海水环境污染较小，反映了中国国内先进燃煤电厂的特性。但是国外合作方却坚持不让用这张图片，理由是从外国读者的角度，这样一座建在海边的电厂肯定会污染海水和大气等人类生存环境，会引发抗议等问题。

此外，行文差异使中文文章的论述结构和习惯很难被国外读者理解。这一点在科技期刊中尤为明显。国外作者的行文方式相对比较随意，文章的逻辑结构不强。中国作者在撰写科技论文时则有严格的逻辑结构，行文方式具有共通性。这是国内期刊在严格的格式和行文要求下形成的特定思维方式。由此带来的问题就是，这些国内作者撰写的文章在翻译过程中需要按照英文的要求进行调整。然而，翻译多重视意义表达，在行文方式方面难以达到以英语为母语的读者的要求。
2.2 翻译质量较低
目标语言翻译质量不高是我国期刊国际化面临的普遍问题。通常国内的翻译人员和英文期刊的编辑都难以同时保证专业知识和语言翻译两种能力。尽管近年来我国翻译水平大幅提高，但高水平的翻译人员仍然缺乏，很难将中西方文化完美对接，文章翻译质量仍然较低。同时，因为大部分外国人对中国的文化基因缺少认知，因此翻译后文章即便保证了较高的水准，外国读者也很难从中国传统文化基因角度理解文章内容。此外，中国科技期刊刊载的论文，语言注重统一和连贯性，概念明确，推理严密，专业性强，翻译后的文章却难以保证严谨性和准确性，会造成外国读者的理解偏差。
2.3 英文期刊经济效益较差
我国大部分期刊由出版社经营。出版社转企后，经济效益成为重要考核指标，大部分期刊需要自负盈亏。对大部分科技英文期刊（主要是学术期刊）来说，版面费和发行收入虽然稳定，但来源单一而且经济效益很低。
出版英文期刊的费用包括编委会的专家费、翻译费、编辑人工成本、设计排版费、发行费、印刷费等，从现有英文期刊国际化的情况看，成本远超过收入。因此科技期刊在独立经营、自负盈亏的要求下，几乎没有动力出版英文版期刊。投稿作者也不愿意自己翻译文章或者核对翻译。因此出版英文期刊基本上是只亏不赚。
2.4 英文期刊编辑素质难以满足国际化要求
英文期刊对编辑人员的综合素质要求很高。从事英文编辑工作的编辑人员一般没有接受过系统的科技英语教育，或者专业知识较高、英文能力不足，或者英文水平高、但专业知之不深。在英文期刊编、审、校环节中极易出现错误和遗漏，导致英文期刊在词语构建、语言表达、英语行文逻辑和词语使用上存在问题[5]。
2.5 发行数量小
英文期刊在国际化过程中最显著的问题就是期刊发行数量小。出版发行收入是期刊的重要收入来源。在国内，期刊发行渠道健全，订阅期刊的高校、单位较多，因此期刊发行数量比较稳定。而英文期刊在国际化过程中，面临着国外发行渠道小、邮寄发行成本高、发行渠道建设成本高、读者群分散、订阅数量少等问题，实际发行数量非常少。这不仅难以提高英文期刊的知名度，而且增加了发行成本。因此，英文期刊很少将发行作为重要工作开展。
3 我国期刊国际化的思路
期刊国际化是提高我国文化实力的战略选择之一。英文期刊，尤其是科技英文期刊，是我国了解国外最新研究成果、发表国内科研成果、实现国际交流和学习的重要平台。因此，提高我国英文期刊尤其是科技英文期刊的国际化程度势在必行。鉴于期刊国际化存在以上问题，笔者参考了众多文献，结合自己的工作经验，提出以下建议和思路。
3.1 提高编辑水平
编辑是英文期刊出版所有环节的核心要素。期刊编辑通常有较高编辑技能，能够准确编辑、审核和校对中文文章，遵守国内新闻出版的有关规定。但是由于英文并非母语，所以对英文的语法和行文规范等了解不够深入。这就需要首先提高编辑的科技英语使用能力和英文语法水平，掌握英文期刊出版规范。可以参考国外EI、SCI期刊的要求，不断整理和总结英文期刊的编辑规范，作为编辑常识。其次，强化质量意识，出版高水平英文刊物。第三，不断增加与国外出版社的交流和学习，提高业务水平和国际化水平。第四，提高英语交流和使用能力，增进与国外作者的沟通和理解，减少重复沟通，提高效率。
此外，编辑人员必须提高对互联网和电脑的应用能力。英文期刊编辑工作的各个环节，如约稿、投稿、编审校等都要逐步实现国际化，因此，编辑应该能够熟练使用电脑和互联网，构建“作者—翻译—审稿—编辑—读者”综合性互联网络，提高与作者、审稿专家、编委会成员、读者、翻译人员之间的沟通交流效率。同时，为降低出版成本、提高发行量，适应期刊数字化出版形势，在计算机、手机、平板电脑等载体上发行数字版也将是英文期刊国际化的重要手段。为此，编辑也需要提高网络和电脑操作能力，以缩短编辑出版周期，提高发行和传播效率。
3.2 选用高水平的翻译团队
英文期刊的编辑人员数量有限，因此需要借助外部力量翻译文章。英文期刊的翻译工作是一项复杂严谨的再创造脑力工作，要达到“信、达、雅”的翻译标准，满足政治性要求，具备较高的科技水平，文字表达准确通顺，这对翻译团队的要求非常高。一般的英文期刊，包括科技英文期刊，都有限定的科学技术领域，因此，要选用具有科技专业知识背景、通晓语言翻译的专业翻译团队。对翻译后的文章施行审校责任制度，即翻译后必须交由具有专业知识背景的专家进行翻译审核，之后再由其他翻译人员对翻译内容进行校对，以保证翻译质量。
3.3 建立编审专家团队
英文期刊必须建立由国际专家组成的编委会和审稿团队。编委会成员必须实现全球化，由英文期刊专业领域中具有国际知名度的行业专家组成，这有利于提高英文期刊的国际知名度和影响力。编委会成员应该协助英文期刊向国外同行专家约稿、组稿，参与期刊的战略制订，制订期刊的编辑计划等。国际化的审稿团队能够提高英文期刊的翻译水平和质量，处理翻译后文章的行文问题，并解决主要的文化差异问题。
3.4 增强对英文期刊的扶持力度
由于英文期刊效益相对较差，因此，建议采取补贴和扶持方式增加对英文期刊的投入。首先，建议英文期刊申报“中国科技期刊国际影响力提升计划”，获得政策支持和资金支持。其次，与企业合作办刊。这是一种双赢策略：英文期刊可以获得企业的资金扶持，提高国际化水平和质量；企业可以在期刊国际化过程中，提高自身的国际影响力和知名度。第三，增加英文期刊之间的合作，建设编辑、出版、发行、经营的协作平台，解决海外发行困难问题，共享国外的编辑、编委和审稿专家，压缩英文期刊的经营成本。
4 结 语
随着我国越来越重视自主创新能力的提高，力争打造具有国际专业水平的学术期刊等高质量高水平交流平台，促进科技期刊国际化发展，提升英文科技期刊国际影响力与核心竞争力，英文期刊迎来了最佳的发展时机。英文期刊，尤其是科技英文期刊，应主动响应，评估期刊现状和问题，积极调整和改革，推进期刊的国际化水平，以期创办一批代表我国前沿学科或能填补国内英文科技期刊学科空白的高水平英文科技期刊，尽快形成具有我国自主知识产权的世界顶级科技期刊群，使我国一批英文科技期刊的学术质量和国际影响力达到世界先进水平。
